Terms of Service.

Acceptance of terms

These Terms of Service ("Terms") govern your engagement with RemoteFlow Bookkeeping LLC ("RemoteFlow," "we," "us," or "our") for bookkeeping, payroll, and financial advisory services. By engaging our services or using this website, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company to these Terms.

Description of services

RemoteFlow provides remote bookkeeping and financial services to small businesses, including but not limited to:

  • Full-cycle bookkeeping (reconciliation, A/P + A/R, general ledger maintenance)

  • QuickBooks Online setup, cleanup, and ongoing management

  • Payroll administration and tax filing

  • Fractional-CFO advisory services

  • One-time financial health reviews, catch-up bookkeeping, and year-end cleanup

We are not Certified Public Accountants (CPAs) and do not provide tax preparation, tax filing, audit, or legal services. We work alongside your existing CPA to provide tax-ready books.

Engagement & scope

Every client engagement begins with a free 30-minute consultation, after which we may provide a written engagement letter detailing:

  • The specific scope of services to be performed

  • The monthly retainer or project fee

  • Service start date and onboarding timeline

  • Mutual responsibilities and deliverable schedule

Services begin only after both parties have agreed to the engagement letter in writing. Out-of-scope work is quoted separately and requires written approval before commencement.

Fees & billing

Monthly retainer fees are billed in advance on the first business day of each month. Project-based fees are billed 50% upfront, with the balance due on completion. Payment is due within 7 days of invoice.

If payment is more than 14 days late, RemoteFlow reserves the right to pause services until the account is current. Repeated late payment may result in termination of the engagement.

Fees are subject to annual review. Any fee increase will be communicated with at least 60 days written notice.

Client obligations

To enable RemoteFlow to perform the services effectively, you agree to:

  • Provide timely and accurate access to financial accounts, source documents, and any platforms required (QBO, banks, payroll systems)

  • Respond to information requests within a reasonable timeframe (typically 5 business days)

  • Notify us promptly of any material changes to your business, accounts, or financial situation

  • Maintain accurate records of business transactions outside of QuickBooks (e.g., cash receipts, mileage logs)

  • Pay invoices on time

RemoteFlow is not liable for delays, errors, or omissions caused by inaccurate or delayed information provided by the client.

Confidentiality

RemoteFlow treats all client business and financial information as strictly confidential. We will not disclose your information to any third party except:

  • To service providers and integrations necessary to deliver our services (e.g., QuickBooks Online)

  • To your CPA or tax professional at your express written direction

  • If required by law, valid subpoena, or court order

This obligation continues indefinitely after termination of the engagement.

Limitation of liability

RemoteFlow's total liability for any claim arising from or related to our services is limited to the fees you paid us in the three (3) months preceding the claim.

RemoteFlow is not liable for:

  • Errors or omissions in your books resulting from inaccurate or incomplete information you provided

  • Tax penalties, interest, or fines imposed by federal, state, or local authorities (these are between you and your CPA)

  • Business losses, lost profits, or other indirect, consequential, or punitive damages

  • Failure to perform services due to events outside our reasonable control (force majeure)

You agree to indemnify and hold RemoteFlow harmless from claims arising from your business operations, your tax positions, or information you provided that proved inaccurate.

Termination

Either party may terminate the engagement with 30 days written notice. RemoteFlow may terminate immediately for non-payment, material breach, or unethical conduct.

Upon termination:

  • RemoteFlow will deliver all client books, files, and records in QBO or another standard format within 30 days

  • Outstanding fees become immediately due and payable

  • Confidentiality obligations continue indefinitely

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Dallas County, Texas.
